* Newell Rubbermaid Inc. the maker of Calphalon cookware, agreed to buy the 50.5% of closely held American Tool Cos. that it doesn’t already own. Newell will pay about $209.5million in cash and assume debt of about the same amount in the deal.

* Germany-based Wella, the second-biggest maker of shampoo and other hair products, agreed to buy German clothing maker Escada’s Escada Beaute Group for an undisclosed price to expand in the fragrances business.
